2. Convertible Loan and SAFE termsheet > what types of discounts and stacked discounts there are; considerations for the cap and implications of those for the future rounds; mandatory conversion conditions and others.

3. Equity termsheet > scenarios in which these terms are discussed; what are the ranges seen in the market; which clauses are easy to give up and which ones should be negotiated harder. How to set up an ESOP and how to even use it as a tool for recapitalization. How to think about governance during various rounds and when to give up control.
